-This terms and conditions govern your use of Divercity Ride vehicles and software applications and any other products or services provided by Divercity Ride LLC

The services made available to Users of Divercity Ride Vehicles are provided only on the condition that the User agrees to the terms and conditions in this Legal user agreement between you and Divercity Ride LLC. Either by accepting this terms and conditions or by using the services, you acknowledge that you read, fully understand, and agree to be bound by this terms and conditions.

Divercity Ride reserves the right to modify or amend these terms and conditions from time to time without notice, but will notify you of any material changes, your continued use of our service will mean you accept those changes. 

-Access License. Divercity Ride grants you a limited, revocable, non-exclusive, non-transferable license to access and make use of the Services or its content. This license does not include any resale or commercial use of the Services or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Services or their contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, cookies, or similar data gathering and extraction tools. Except as expressly permitted herein, the Services and/or any portion of the Services may not be reproduced, sold, resold, visited or otherwise exploited for any purpose without Divercity Ride ’s express written consent. Any unauthorized use automatically terminates the permissions and/or licenses granted by us to you.

-Copyright and Ownership. All the content featured or displayed on the Services, including without limitation text, graphics, photographs, images, moving images, sound, and illustrations (“Content”), is owned by Divercity Ride, its licensors, vendors, agents and/or its Content providers. All elements of the Services, including without limitation the general design, vehicle control design, vehicle protection design and the Content, are protected by trade dress, copyright, moral rights, trademark, and other laws relating to intellectual property rights. The Services may only be used for the intended purpose for which such Services is being made available. Except as permitted by copyright law, you may not modify any of the materials and you may not copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information or work contained on the Services. Except as authorized under the copyright laws, you are responsible for obtaining permission before reusing any copyrighted material that is available on the Services. You shall comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of the Services. The Services, Content and all related rights shall remain the exclusive property of Divercity Ride or its licensors, vendors, agents, and/or its Content providers unless otherwise expressly agreed. You will not remove any copyright, trademark or other proprietary notices from material found on the Services.

-ELIGIBILITY. You  must:

Own or control a mobile device that is compatible with the Divercity Ride App. You are responsible for obtaining, at your own expense, all equipment and services needed to access the Services via such mobile device. The User understands that its wireless carrier may charge it certain fees for data, text messaging, and other wireless access or communications services. Divercity Ride does not guarantee that the App can be accessed through all wireless devices or service plans or are available in all geographical locations.

Be at least 16 years old 

Agree, to allow Divercity Ride to track your movements whenever the App is running on your mobile device.

-Account Registration and Security. You understand that you will need to create an account to have access to the Services, including Rental Services. You will: (a) provide true, accurate, current, and complete information about yourself as prompted by the Services’ registration, sign-in, or subscription page (such information being the “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete Divercity Ride has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Divercity Ride has the right to suspend or terminate your account and refuse all current or future use of the Services (or any portion thereof). You are responsible for the security and confidentiality of your password and account. Furthermore, you are responsible for all activities that occur under your account. You will not share your account information or your username and password with any third party or permit any third party to log in or use the Services using your account information. You agree to immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware. You are responsible for taking precautions and providing security measures best suited for your situation and intended use of the Services. 

-Payment Method & Payments, you may be required to provide Divercity Ride with a valid credit card, debit card, or other payment account (“Payment Method”) to use certain Services, including Rental Services provided by Divercity Ride or a Platform Partner. When you add a Payment Method to your Divercity Ride account, you will be asked to provide customary billing information. You must provide accurate, current, and complete information when adding a Payment Method and it is your obligation to always keep your Payment Method up to date. You represent and warrant to Divercity Ride that you are authorized to use any Payment Method you furnish to Divercity Ride. You authorize Divercity Ride to charge the Payment Method for all fees incurred by you with respect to Rental Services (or other services offered by Divercity Ride or Platform Partners from time to time), including applicable sales, use, VAT, and other local government charges. If you dispute any charge on your account, you must contact Divercity Ride within 10 business days from the end of the month within which the disputed charge occurred and provide to Divercity Ride all trip information that is necessary to identify the disputed charge, such as the date of the trip and the approximate starting and ending times of the ride associated with the disputed charge. You agree to immediately inform Divercity Ride of all changes relating to the Payment Method.

Payment Facilitators You agree, understand, and acknowledge that Divercity Ride may engage third party payment processors / gateway service providers to facilitate processing of payments, including Auto-Update. Accordingly, you may be required to follow any terms and conditions of such third-party payment processors/gateway service providers, as communicated to you, from time to time.

No Refunds. All fees relating to you, including the User Fees, Plans, reloads, and other costs and fees as provided in this Agreement and the Rate Schedule are final and nonrefundable.

Pre-Authorization. Divercity Ride Payment Gateway Service Provider may seek pre-authorization of User’s credit or debit card account prior to a fee or cost becoming due to verify the card is valid and/or has the necessary funds or credit available to cover such fees or costs.

-Delinquent Accounts. Any User Account, which is delinquent, will be suspended or terminated solely at Divercity Ride discretion. Any credit card which is rejected may result in suspension or termination of the User, solely at Divercity Ride discretion. The User must notify Divercity Ride in the event of the credit card on record being changed, expiring, or being no longer valid, and replace it with a valid credit card. Divercity ride may seek third party assistance with unpaid or delinquent accounts if the User does not pay outstanding charges.

Maximum rental time and charges. Maximum rental time of a Divercity Ride Vehicles is 24 hours from the actual time of start of the rental ride by you. You agree to deactivate a Divercity Ride vehicles’ rental within 24 hours of the time that rental of the Divercity Ride Vehicles began. you may then rent again. you agree that you are solely responsible for being aware of any elapsed time related to the timely locking the Divercity Ride Vehicles. The prevailing maximum day (24 hours) charge is $550 USD (converted to local currency at Central Bank Rate) for each electric vehicle. After the return of the Divercity Ride Vehicles, you will be charged the accumulated rental charges, or the maximum day charge; whichever is lower. A Divercity Ride Vehicles not returned (locked and a ride concluded within service zone) within 48 hours will be considered lost or stolen, and you may be charged up to $5000 USD (converted to local currency at Central Bank Rate) for each Vehicles, and a police report may be filed. Divercity Ride may also charge a collection service fee of $150 USD (converted to local currency at Central Bank Rate) for rentals more than 24 hours where the Divercity Ride Vehicles’ is not lost or stolen.

Pick Up Fees. If you are unable to return a Divercity Ride Vehicles to a valid area (i.e. User secures the Divercity Ride Vehicles on private property, a locked community/property or gated zone, or another unreachable area), and requests that the Divercity Ride Vehicles be picked up by Divercity Ride staff, Divercity Ride, at its sole discretion, may choose to charge User a pick-up fee up to $150 USD (converted to local currency at Central Bank Rate). If any Vehicles accessed under the User's account is abandoned without notice, the User will be responsible for all fees until the Vehicles is recovered and deactivated, plus a service charge to recover the Divercity Ride Vehicles. Fees are subject to change.

-Inappropriate Material. You are prohibited from using the Services to post or send any unlawful, infringing, threatening, defamatory, libelous, obscene, pornographic, or profane material or any material that infringes or misappropriates third party intellectual property or could constitute or encourage conduct that would be considered a criminal offense or otherwise violate any law. You further agree that sending or posting unsolicited advertisements or “spam” on or through the Services is expressly prohibited by this Agreement. In addition to any remedies that we may have at law or in equity, if we determine, in our sole discretion, that you have violated or are likely to violate the foregoing prohibitions or any applicable rules or policies linked to in these Terms of Service, we may take any action we deem necessary to cure or prevent the violation, including without limitation, banning you from using the Services and/or the immediate removal of the related materials from the Services at any time without notice. We will fully cooperate with any law enforcement authorities or court order or subpoena requesting or directing us to disclose the identity of anyone posting such materials.

-Access and Interference. You agree that you will not use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the site or any activities conducted on the Services; or (iii) bypass any measures we may use to prevent or restrict access to the Services.

-Right to Takedown Content. you shall remain solely responsible for the content of their messages and Divercity Ride shall have no obligation to prescreen any such content. However, we shall have the right in our sole discretion to edit, refuse to post or remove any material submitted to or posted on the Services at any time without notice. we shall have the right to remove any material that we find to be in violation of the provisions hereof or otherwise objectionable, and the additional right to deny any user who fails to conform to any provision of these Terms of Service access to the Services or any part thereof.

-We may suspend or terminate your right to use this Services at any time, for any reason or for no reason. We may also block your access to our Services in the event that (a) you breach these Terms of Service; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause financial loss or legal liability for you, our users or us.

-Representations and Warranties. You represent that you are over the age of 16 are fully able and competent to satisfy the terms, conditions, and obligations herein, and your use of the Services is and will be in compliance with all applicable laws. You represent that you have read, understood, agree with, and will abide by the terms of these Terms of Service. In addition, you represent and warrant that your User Submissions and all elements thereof are (a) owned or controlled solely and exclusively by you, all of the rights granted herein; and (b) Divercity Ride ’s use of your User Submissions as described or contemplated herein do not and will not infringe on the copyrights, trademark rights, publicity rights or other rights of any person or entity, violate any law, regulation or right of any kind whatsoever, or otherwise give rise to any actionable claim or liability, including without limitation rights of publicity and privacy, and defamation. Furthermore, You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them.

Your use of the services and any rental services is at your risk. the information, materials and services provided on or through the services are provided “as is” without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, security, or non-infringement of intellectual property.

-Limitations of liability. Divercity Ride does not assume any responsibility, nor will be liable, for any damages to, or any viruses that may infect your computer, telecommunication equipment, or other property caused by or arising from your access to, use of, or browsing the services, or your downloading of any information or materials from this service. in no event will Divercity Ride , or any of its officers, directors, employees, shareholders, affiliates, agents, successors or assigns, nor any party involved in the creation, production or transmission of the services, be liable to you or anyone else for any indirect, special, punitive, incidental or consequential damages (including, without limitation, those resulting from lost profits, lost data or business interruption) arising out of the use, inability to use, or the results of use of the service, or the materials, information or services contained on any or all of the service, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages. The foregoing limitations of liability do not apply to the extent prohibited by law. Please refer to your local laws for any such prohibitions. in the event of any problem with the services or any materials, or information contained on any or all the service, you agree that your sole remedy is to cease using the service. in no event shall Divercity Ride ’s total liability to you for all damages, losses, and causes of action whether in contract, tort (including, but not limited to, negligence), or otherwise exceed the greater of (a) fifteen Egyptian pounds (EGP 15.00); or (b) the total fees you have paid to Divercity Ride or its platform partner in the previous six (6) month period.

-Reporting of Accidents and Cooperation. If, you are in possession of a Divercity Ride Vehicles, the Divercity Ride Vehicles is involved in an incident that results in injury or damage to a third party or third-party property, you must immediately inform the police and obtain an official police report. You will be full liable and responsible for any compensation resulted for this damage to the third party and Divercity Ride 

You agree to defend, indemnify and hold Divercity Ride and any affiliated entity or individual harmless from any and all losses, liabilities, damages, injures, costs, and expenses, including reasonable attorneys’ fees, related to or in connection with (i) your use of the Services and any Rental Services provided by any entity; (ii) your violation of any term of this Agreement, including without limitation, your breach of any of the representations and warranties above; (iii) your violation of any third party right, including without limitation any damages in his assets, injuries, any right of privacy, publicity rights or intellectual property rights; (iv) your violation of any applicable law, rule or regulation; (v) any claim or damages that arise as a result of any User Submission or other content, message or information that you provide to Divercity Ride , including without limitation any claim or damages arising from a defamation or invasion of privacy claim; or (vi) any other party’s access and use of the Services with your unique username, password or other appropriate security code.

You agree to return the Divercity Ride Vehicles to Divercity Ride in the same condition in which it was rented. Until the Divercity Ride Vehicles is locked, you shall be responsible for loss and damage to the Vehicles or for any damages happened to any third party including but not limited (injures, damage in public or private assets…etc.). 

You shall, at no time, attempt to electrically charge the battery of the Divercity Ride vehicles, because Divercity Ride is solely authorized and responsible for charging and recharging the vehicles batteries, unless otherwise advised by Local Partner.

Divercity Ride shall not be responsible for any loss of, or damage to, any goods in or on the Divercity Ride Vehicles, including your mobile device that is running the App, nor shall it be responsible for any loss or damage to third parties for the actions taken by you during the period you are responsible for a Divercity Ride Vehicles.

Any use of a Divercity Ride vehicles that is prohibited by this agreement voids all insurance, accident, or liability coverages, including any CDW ; makes Divercity Ride subject to immediate recovery without notice to you; and makes you responsible for all loss or damage to, or connected with the Divercity Ride vehicles , including Divercity Ride’s expenses, to the extent that such loss or damage is due to such prohibited use.

Prior to taking possession of a Divercity Ride Vehicles, the User must inspect the Divercity Ride Vehicles for evidence of damage and disrepair. If any damage or disrepair is discovered, the User must notify Divercity Ride immediately using the App to avoid being held responsible for such damage or disrepair.

If you fail to report any evidence of damage prior to using the Divercity Ride Vehicles, the User may be liable for the cost of repairing the Divercity Ride Vehicles. For the User’s own safety, the User is prohibited from operating a Divercity Ride Vehicles if any of the following equipment is not in good working order: tires, brakes, lights.

You are responsible for all charges and costs incurred, and any damages, and, pertaining to the Divercity Ride Vehicles from the time a User activates a Divercity Ride Vehicles until the Divercity Ride Vehicles is returned and secured, and the ride ended via the App.

Divercity ride has the right to take all legal actions toward you or anyone, if we discover that you assemble or disassemble any part of components from Divercity Ride vehicles.

You are responsible for any violations, including but not limited to traffic violations incurred, including fines for late payment and any processing fees. If the User fails to pay for any violations incurred, and Divercity Ride pays for such violations, the User agrees that Divercity Ride may charge User’s payment method on record in accordance with the Agreement.

Divercity Ride Vehicles s shall not be used as follows:

By a User while under the influence of drugs or alcohol or any other intoxicating substance

During the commission of a crime or other illegal activity such as protest march, escape from law, knowingly or unknowingly carrying items/goods prohibited by law, etc.

In a negligent or abusive manner or for any use outside the scope of a Divercity Ride Vehicles ’s intended purpose (violating a traffic law, or receiving a ticket in an accident is not automatically a violation of this provision, but may be an indication that a violation of this provision has occurred)

By anyone who has provided Divercity Ride with false information to become or remain a User

While there is inclement weather, including heavy rain, hailstorms, sandstorms, electrical storms, or strong wind, which make it more dangerous to operate a Divercity Ride Vehicles 

While texting, emailing, using a cell phone, or otherwise using a mobile device other than to operate the Divercity Ride Vehicles that may distract from driving safely or otherwise engaging in any activity that may be prohibited by law.

The foregoing list is not intended to be exhaustive and any unreasonable or inappropriate use of a Divercity Ride Vehicles, as determined by Divercity Ride in its sole discretion, or any violation of law will be deemed to be a violation of this Rules Schedule.

If you have a dispute with one or more other users of the Services, you release Divercity Ride (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

-Force Majeure. Divercity Ride shall not be responsible for damages or for delays or failures in performance resulting from acts or occurrences beyond their reasonable control, including, without limitation: fire, lightning, explosion, power surge or failure, water, acts of God, war, revolution, civil commotion or acts of civil or military authorities or public enemies: any law, order, regulation, ordinance, or requirement of any government or legal body or any representative of any such government or legal body; or labor unrest, including without limitation, strikes, slowdowns, picketing, or boycotts; inability to secure raw materials, transportation facilities, fuel or energy shortages

You consent to the exclusive jurisdiction of the courts located Cairo, Egypt for any claim related to our service.

Entire Agreement. This Agreement constitutes the entire agreement between the parties hereto regarding the subject matter contained herein and the parties acknowledge that they have not relied on any promise, representation, or warranty, express or implied, that is not contained in this Agreement. Divercity Ride is not obligated under any other agreements unless they are in writing and signed by an authorized representative of Divercity Ride
